Terms of Service

Please read these Terms of Service carefully before using OnRoady. These Terms are a legal agreement between you and OnRoady LLC, a California limited liability company ("OnRoady"). Section 18 (Dispute Resolution) contains a binding individual-arbitration clause and class-action waiver that affect your legal rights. You may opt out of arbitration within 30 days of first accepting these Terms.

The in-app copy of these Terms is mirrored in src/features/auth/screens/TosModal.js (TOS_SECTIONS[].body). When you edit this file, update the corresponding section body in that array too.

1. Acceptance of Terms

The OnRoady mobile application and website (the "Service") are operated by OnRoady LLC, a California limited liability company ("OnRoady," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

OnRoady is a marketplace platform that connects:

OnRoady acts as a neutral platform and is not a party to any agreement between requesters and drivers.

3. Eligibility

You must be at least 18 years old to use OnRoady. By creating an account, you confirm that you are 18 or older and that all information you provide is accurate. We reserve the right to suspend accounts where eligibility cannot be verified.

4. Accounts and Security

You are responsible for maintaining the security of your account. You must notify us immediately at support@onroady.app if you suspect unauthorised access. OnRoady is not liable for losses caused by unauthorised use of your account.

You agree not to:

Violation of these rules may result in immediate account suspension and forfeiture of any pending earnings or bounty funds.

6. Video Content and Rights

Ownership. You retain full ownership of any video content you submit.

License to OnRoady. By submitting content, you grant OnRoady a non-exclusive, worldwide, royalty-free licence to store, process, display, and deliver that content solely for the purpose of operating the Service (including face/plate blurring and thumbnail generation).

License to Requesters. When a bounty is accepted and payment released, you grant the requester a non-exclusive licence to use the submitted footage for the stated purpose of their bounty (e.g., insurance claim, legal proceeding).

Content Accuracy. You represent that submitted footage is unaltered, was recorded legally, and does not violate any third party's rights.

7. Payments, Escrow, and Payouts

Escrow. Bounty funds are held in escrow by Stripe on behalf of the requester until the footage is reviewed and approved.

Payouts. Drivers receive payment after a requester approves submitted footage. Disputes may delay or withhold payment pending resolution.

Fees. OnRoady may charge a platform service fee on transactions. The fee will be disclosed at the time of bounty creation.

Tax Obligations. Drivers are independent contractors, not employees of OnRoady. Earnings above $600 in a calendar year are subject to IRS 1099-NEC reporting. Drivers are required to submit W-9 information before receiving payouts. OnRoady is not responsible for any tax obligations arising from your earnings.

Refunds. Requester funds are refunded if no matching footage is submitted before a bounty expires or if a dispute is resolved in the requester's favour.

Chargebacks. If a requester initiates a chargeback with their card issuer or bank after a bounty has been paid out, OnRoady may reverse or withhold the corresponding amount from the driver's wallet balance or future earnings until the chargeback is resolved. If the chargeback is ruled in the requester's favour, the driver forfeits the payout for that bounty. If the chargeback is ruled in OnRoady's favour, the driver receives the payout as originally scheduled. OnRoady may charge a reasonable dispute-processing fee to the driver when the chargeback was caused by driver misconduct (for example, fraudulent or staged footage). OnRoady is not liable for chargeback losses caused by legitimate quality disputes; those are handled through the dispute process in Section 8.

Payment Processing by Stripe. OnRoady does not hold, transmit, or take custody of user funds. All escrow, payment processing, refunds, and payouts are performed by Stripe Payments Company and its affiliates (together, "Stripe") under Stripe's own regulatory licenses. Stripe is the money transmitter for all funds moved through the Service. Your use of Stripe is subject to the Stripe Connected Account Agreement and the Stripe Services Agreement, which you accept when you create a Stripe Connect account through OnRoady. OnRoady acts solely as a marketplace facilitator connecting requesters and drivers and is not a party to the funds-transmission relationship between you and Stripe.

Independent-Contractor Confirmation. Drivers are not employees, agents, franchisees, or joint venturers of OnRoady. Each driver: (i) sets their own routes, hours, and days of activity; (ii) has the unqualified right to accept, refuse, or ignore any bounty without penalty; (iii) is free to provide similar services to other platforms or private clients; (iv) supplies their own vehicle, camera equipment, phone, insurance, and fuel; and (v) is not required to attend training, wear a uniform, or maintain any minimum acceptance rate. This section is not intended to create, and does not create, any employment relationship. California residents should also read the California Independent-Contractor Addendum published at onroady.app/ab5-addendum, which applies the Dynamex ABC test in detail.

How Your Payout Is Calculated. The driver-facing price shown on every bounty card is calculated as base × urgency multiplier × surge multiplier − platform fee. The exact amount you receive is disclosed as the driver payout number before you claim. The urgency multiplier is chosen by the requester at posting time. The surge multiplier reflects real-time demand in the bounty area at the moment of posting. The platform fee covers payment processing, moderation, and dispute handling.

Surge Multiplier Snapshot. The surge multiplier is set at the moment a bounty is posted and is frozen on that bounty. It does not recalculate at the time you view the bounty or the time you claim it. The driver-facing price you see is the price you will be paid if the footage is approved, regardless of how market conditions change after posting.

Reputation Tier Visibility. OnRoady may briefly delay bounty visibility for lower reputation tiers so higher-tier drivers see new bounties first. This is a marketplace-curation mechanism intended to reward consistently high-quality contributions. It is not a performance-discipline mechanism tied to acceptance rate, hours worked, or any employment-style metric.

Fuel and Time Estimates. Any net-earnings or per-hour estimate displayed on a bounty card is a good-faith projection based on default assumptions of fuel cost per kilometre, average travel speed, and recording duration. Actual earnings will vary with your local fuel prices, route, traffic, and recording length.

8. Disputes

If a requester and driver cannot agree on whether submitted footage satisfies a bounty, either party may raise a dispute through the app. OnRoady will review the submission and make a final, binding decision. OnRoady's decision is made in good faith based on the footage and bounty description and is not subject to appeal.

9. Content Moderation

OnRoady actively moderates bounty content to prevent misuse. Our moderation practices include:

Automated Screening. Bounty titles and descriptions are automatically screened for keywords associated with stalking, harassment, illegal surveillance, and targeting of minors. Bounties that trigger these filters are blocked at submission.

User Reporting. Any user may report a bounty they believe violates these Terms using the "Report" option on the bounty details screen. Reports are reviewed by OnRoady staff.

Auto-Suspension. Bounties that receive three or more unique reports from different users are automatically suspended pending review.

Admin Review. Suspended bounties are reviewed by OnRoady staff who may remove the content or restore it if the report is unfounded. Requesters are notified of the outcome.

Consequences. Repeated policy violations may result in account suspension or permanent ban. Funds associated with removed bounties will be refunded to the requester's wallet.

OnRoady reserves the right to remove any bounty at our discretion if we determine it violates these Terms or our community standards, without prior notice.

10. Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy.

11. Identity Verification (KYC)

To receive payouts, drivers must complete identity verification by submitting a valid driver's licence. OnRoady uses this information solely to verify identity and comply with financial regulations. Submitting false identification information is a violation of these Terms and may be reported to law enforcement.

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. OnRoady does not guarantee:

13. Driver Safety and Assumption of Risk

NO INSURANCE PROVIDED. OnRoady does NOT provide vehicle insurance, liability insurance, medical insurance, or any other form of coverage to drivers. Drivers are independent contractors responsible for their own:

SAFE DRIVING REQUIREMENT. Drivers must operate their vehicles safely at all times and obey all traffic laws.

Recording is prohibited while your vehicle is in motion. You must safely bring the vehicle to a complete stop, place it in park (or otherwise fully secure a stationary vehicle), and remain stationary before starting any recording. Recording captured while the vehicle is moving is a violation of these Terms regardless of the perceived level of distraction, may result in immediate account suspension, forfeiture of any pending payout, and permanent disqualification from the Service, and — depending on jurisdiction — may constitute distracted-driving offenses for which you are solely responsible.

You further agree not to:

ASSUMPTION OF RISK. You acknowledge that participating in the Service — including driving to a bounty location or recording video — involves inherent risks, including the risk of traffic accidents, injury, or property damage. By using the Service, you knowingly and voluntarily assume all such risks. OnRoady is not responsible for any injuries, damages, fines, citations, or losses you, your passengers, or third parties incur in connection with your driving or recording activity.

NO COVERAGE FOR INJURIES OR LOSSES. OnRoady is not responsible for, and provides no compensation for: injuries to drivers, passengers, pedestrians, or third parties; damage to vehicles or other property; lost wages from time spent driving or recording; traffic citations, parking tickets, or other fines; legal fees incurred from your driving or recording activity; or any other costs arising from your participation as a driver.

14. Limitation of Liability

To the maximum extent permitted by applicable law, OnRoady and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data, arising from your use of the Service. Our total liability to you for any claim shall not exceed the greater of $100 or the amount you paid to OnRoady in the 3 months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless OnRoady from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

16. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or at our discretion with notice. You may delete your account at any time via Settings → Delete Account. Termination does not affect any payment obligations already incurred.

17. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Subject to Section 18 (Dispute Resolution), any disputes that are not subject to arbitration shall be resolved in the state or federal courts located in Santa Clara County, California, and you consent to the personal jurisdiction of those courts.

18. Dispute Resolution — Binding Individual Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

Informal Dispute Resolution. Before filing a claim against OnRoady, you agree to first contact us at legal@onroady.app with a written description of your claim and your contact information, and to work with us in good faith for at least sixty (60) days to resolve the dispute informally. If we cannot resolve the dispute within that period, either party may proceed to arbitration as set out below. The 60-day informal-resolution period tolls any applicable statute of limitations.

Agreement to Arbitrate. You and OnRoady agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or the relationship between you and OnRoady — including the enforceability, revocability, scope, or validity of this arbitration agreement — will be resolved by binding individual arbitration, and not in court, except as provided below. The Federal Arbitration Act (9 U.S.C. §§ 1–16) governs the interpretation and enforcement of this arbitration agreement.

Exceptions. This arbitration agreement does not require arbitration of: (a) individual claims brought in small-claims court, so long as the claim remains in that court and on an individual basis; (b) claims to enjoin the infringement or misuse of intellectual property rights; or (c) claims that applicable law prohibits from being subject to pre-dispute arbitration.

Class Action Waiver. You and OnRoady agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, representative, or private-attorney-general action. Unless both you and OnRoady agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding. If a court decides that applicable law prevents enforcement of any part of this class-action waiver as to a particular claim, then that specific claim must proceed in court and not in arbitration; the remainder of this Dispute Resolution section, including the individual-arbitration requirement for all other claims, remains enforceable.

Jury Trial Waiver. To the extent claims proceed in court rather than arbitration, both you and OnRoady knowingly and voluntarily waive any right to a trial by jury.

Arbitration Rules and Forum. The arbitration will be administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures and, where applicable, its Consumer Minimum Standards, each as in effect at the time the arbitration is initiated and as modified by these Terms. The JAMS rules are available at jamsadr.com. The arbitration will be conducted by a single arbitrator. The seat of the arbitration is Santa Clara County, California, but if you are a consumer you may elect to have the arbitration conducted (i) in person in the county of your primary residence, (ii) by telephone or video conference, or (iii) based solely on written submissions.

Arbitration Fees. For any consumer claim in which the amount in controversy is less than ten thousand United States dollars, OnRoady will pay all JAMS filing, administrative, and arbitrator fees, unless the arbitrator determines that your claim was frivolous or brought for an improper purpose. For claims of ten thousand dollars or more, allocation of fees will be governed by the JAMS rules.

Governing Law of Arbitration. Except as governed by the Federal Arbitration Act as stated above, the substantive law of the State of California applies to the merits of any dispute, without regard to conflict-of-law principles.

Severability. If any provision of this Dispute Resolution section is held to be unenforceable, that provision shall be severed and the remainder shall continue in full force and effect, except that if the Class Action Waiver is held unenforceable as to any claim for public injunctive relief, that specific claim may be severed and adjudicated in court while all other claims proceed in arbitration.

Thirty-Day Right to Opt Out. You may opt out of this arbitration agreement by sending written notice to legal@onroady.app within thirty (30) days of first accepting these Terms. The notice must include your full name, the phone number or email associated with your OnRoady account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other portion of these Terms. If you opt out, disputes will be resolved in the courts identified in Section 17.

Survival. This Dispute Resolution section survives termination of your account or these Terms.

19. SMS Communications

Consent to Receive SMS. By providing a mobile phone number to OnRoady, you expressly consent to receive text messages from us at that number for the following categories: one-time verification codes and account-security alerts; transactional notifications about bounties you post or claim, such as match, acceptance, and payout events; and, if you separately opt in, marketing and promotional messages.

Message Frequency. Message frequency varies based on your account activity. You may receive up to twenty non-verification messages per month per account.

Message and Data Rates. Message and data rates may apply. OnRoady is not responsible for any charges from your mobile carrier related to messages sent or received through the Service.

How to Cancel. You may cancel non-verification SMS messages at any time by replying STOP to any OnRoady message, or by disabling SMS in Settings, then Notifications. You may still receive one-time verification codes required for account security. Reply HELP for support, or contact us at support@onroady.app.

Carriers. Supported carriers include AT&T, T-Mobile, Verizon, and most United States mobile carriers. Carriers are not liable for delayed or undelivered messages.

International Messaging. If your mobile number is registered outside the United States, standard international rates may apply and delivery is not guaranteed.

20. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via the app or email at least 14 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.

22. Severability and Jurisdiction-Specific Limitations

If any provision of these Terms is held invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or, if it cannot be so modified, severed from these Terms. The remaining provisions shall remain in full force and effect.

An invalid provision applies only to the jurisdiction issuing the ruling. A holding by a court in one U.S. state, territory, or country does not affect the enforceability of the same provision in any other jurisdiction.

Where OnRoady publishes a state-specific or jurisdiction-specific addendum to these Terms (for example, addenda required by California SB 988, New York Freelance Isn't Free Act, Illinois HB 3742, Colorado Pay Transparency, or Washington Equal Pay and Opportunities Act), the addendum supersedes the corresponding provisions of these Terms for users whose primary residence is in that jurisdiction.

23. Force Majeure

Neither party will be liable for any failure or delay in performance under these Terms caused by circumstances beyond its reasonable control, including without limitation: acts of God, natural disasters, epidemics, pandemics, war, terrorism, riots, civil unrest, government actions, network or utility failures, third-party service outages (including outages of Stripe, Supabase, Cloudflare, or Twilio, or any successor provider), labor disputes, and shortages of materials or transportation. This section does not excuse either party's payment obligations that have already accrued.

24. Assignment

You may not assign, transfer, or delegate these Terms or any rights or obligations under them, in whole or in part, whether by operation of law or otherwise, without OnRoady's prior written consent. Any purported assignment in violation of this section is void. OnRoady may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of substantially all of its assets. These Terms bind and benefit the parties and their respective permitted successors and assigns.

25. Notices

OnRoady may deliver notices to you through the Service (including by in-app banner, push notification, or SMS to the number on file) or by email to the address on file. Such notices are effective when sent. You are responsible for keeping your contact information current.

Except as expressly permitted for arbitration notices under Section 18 and DMCA notices under our DMCA Copyright Policy, you may send notices to OnRoady by email to legal@onroady.app or by mail to OnRoady LLC, 101 E. San Fernando St Suite 138, San Jose, CA 95112. Notices to OnRoady are effective on receipt.

26. Electronic Communications Consent

By using the Service, you consent to receive all agreements, notices, disclosures, tax forms, and other communications from OnRoady in electronic form, satisfying any legal requirement that such communications be in writing. You may withdraw this consent by closing your account, but doing so will terminate your access to the Service. Your consent under this section covers communications required by the Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. §§ 7001 et seq.), the Uniform Electronic Transactions Act, and any comparable state or foreign law.

27. Compliance with Export Controls and Sanctions

You represent and warrant that: (a) you are not located in, and are not a national or resident of, any country or territory subject to a comprehensive United States trade embargo (currently including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not identified on any United States government prohibited-parties list, including the OFAC Specially Designated Nationals List, the Commerce Department Denied Persons List, and the Entity List; and (c) you will not use the Service in violation of any United States export-control or sanctions law. OnRoady may suspend or terminate accounts to comply with these laws.

28. General

Entire Agreement. These Terms, together with the Privacy Policy, the DMCA Copyright Policy, the Biometric Information Retention & Destruction Schedule, and any jurisdiction-specific addenda published by OnRoady, constitute the entire agreement between you and OnRoady regarding the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written, on the same subject matter.

No Waiver. OnRoady's failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision. Any waiver must be in writing and signed by an authorized OnRoady representative to be effective.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.

Interpretation. As used in these Terms, the word "including" means "including without limitation," and any list of examples is illustrative, not exhaustive.

Relationship of the Parties. Nothing in these Terms creates a joint venture, partnership, employment, agency, or fiduciary relationship between you and OnRoady.
